1. Scope and Identity of the Seller

These Terms and Conditions (“Terms”) govern the use of this website and the purchase of products from S A Shantha Sunthari Naidu trading as Whispers in Print, a sole trader established in Luxembourg (“we”, “us”, “our”).

By accessing this website or placing an order, you confirm that you have read, understood, and agreed to these Terms.

2. Business Model and Contractual Structure

2.1 Third-Party Sales via Spoonflower

Our seamless surface pattern designs (including wallpaper, fabric, and home décor) are showcased on this website but sold exclusively via the Spoonflower platform.

For such products, Spoonflower is the seller of record, and the sales contract is concluded directly between you and Spoonflower. Spoonflower is solely responsible for:

  • Order processing
  • Payment handling
  • Manufacturing
  • Shipping and delivery
  • Returns, refunds, and customer service

We act solely as a designer and referrer and assume no liability in connection with such transactions.

2.2 Direct Sales via Website

Paper stationery and art prints are sold directly by Whispers in Print via this website. Orders are processed through Shopify, and production and fulfilment are carried out by Gelato (print-on-demand provider). We remain the legal seller of record.

3. Product Description and Accuracy

We make reasonable efforts to ensure that product descriptions, images, and specifications are accurate. However, colours and sizes may vary depending on screen calibration, print output may differ slightly due to production processes, and minor deviations do not constitute defects. All products are offered subject to availability.

4. Pricing and Taxes

All prices are stated in EUR (€) and include VAT where applicable under Luxembourg law. Shipping costs are calculated separately and displayed before checkout. We reserve the right to modify prices prior to order confirmation.

5. Order Process and Contract Formation

A binding contract is formed only when you complete the checkout process and receive an order confirmation email. We reserve the right to refuse or cancel orders at our sole discretion, correct pricing or product errors, and cancel orders suspected of fraud or misuse.

6. Payment

Payments are processed via secure third-party providers integrated into Shopify. We do not store or process payment details directly. You agree to provide accurate and complete payment information.

7. Fulfilment and Delivery

Orders are produced and shipped by Gelato. Delivery times are estimates only, and we are not responsible for delays caused by production partners, shipping carriers, or customs or other external factors. Risk transfers to the customer upon delivery.

8. Right of Withdrawal

As all products are made-to-order, the right of withdrawal under EU Directive 2011/83/EU does not apply. By placing an order, you expressly acknowledge and accept the loss of your withdrawal right.

9. Returns and Defects

Claims for defective or damaged products must be made in accordance with our Returns & Refunds Policy. We reserve the right to determine whether a defect exists.

10. Intellectual Property

All content, designs, and artwork are the exclusive property of S A Shantha Sunthari Naidu Athinaidu trading as Whispers in Print. Any reproduction, distribution, or commercial use without prior written consent is strictly prohibited.

11. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for indirect, incidental, or consequential damages, and our total liability is limited to the amount paid for the relevant order. We are not liable for third-party services (Spoonflower, Gelato, payment providers), website interruptions or technical issues, or loss of data, profits, or business opportunities. Nothing in these Terms excludes liability where it cannot be excluded under Luxembourg law.

12. Indemnification

You agree to indemnify and hold harmless S A Shantha Sunthari Naidu Athinaidu trading as Whispers in Print from any claims, damages, or liabilities arising from misuse of the website, violation of these Terms, or infringement of third-party rights.

13. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including natural disasters, supply chain disruptions, war, strikes, pandemics, or internet or infrastructure failures.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Luxembourg. Any disputes shall fall under the exclusive jurisdiction of the courts of Luxembourg, unless mandatory consumer protection rules provide otherwise.
